Representing DIF Capital Partners in the acquisition of a controlling stake in DIF by CVC, a global alternative investment manager focused on private equity, secondaries, and credit with €161 billion of assets under management. We are responsible for negotiating and obtaining the consents from all federal, state and local communications U.S. regulatory authorities related to voice, video and data services, including issues relating to foreign ownership of telecommunications assets in the U.S. and FCC ownership limits.
Represented TPG Capital in its $1.8 billion investment in DIRECTV as part of AT&T’s spinoff of DIRECTV.
Represented Joink LLC, a DIF CIF II portfolio company owned by DIF Capital Partners, in its acquisition of Computer Techniques Inc. The TechComm practice advised on all communications-related aspects of the transaction, including strategies for approval of the deal and resolving complex foreign ownership issues.
