The Situation
Population health initiatives are financially critical to health care provider organizations because the providers are contractually required by payors to implement them in order to manage the quality and cost of care. We served as lead lawyers in the negotiation of a transaction for the procurement of a software as a service (SaaS) care management platform to be used by an academic medical center to support the system’s population health initiatives.
The Approach
Because the platform integrates sensitive clinical and administrative data from disparate sources, our team navigated complex data privacy and security and health care regulatory issues. Also, the arrangement arose from ongoing collaborative research activities between our client and the vendor, requiring consideration of research funding and intellectual property issues.
The Outcome
By executing this arrangement, we greatly bolstered our client’s bottom line.
