We're excited to host a breakfast seminar at our Toronto office on November 26th. While enjoying a delicious breakfast, we'll run a presentation called A Compensation Primer: Navigating Long-Term Incentives for Private Companies, which will help you think about how to design and manage Long-Term Incentive Plans (LTIPs) for private companies, addressing the unique design elements available and related legal considerations. You'll be presented with the legal frameworks and best practices for structuring LTIPs.

The breakfast begins at 8:30 am and the 45 minute presentation begins at 8:45 am.

Key topics include:

  • LTIP Objectives: Setting up LTIP structures to help private companies attract and retain key talent and align with shareholder interests
  • LTIP Vehicles: Common LTIP structures and the tax considerations, including issues surrounding company valuation methods and managing liquidity
  • Employment Law Considerations: Key provisions in employment agreements, shareholder agreements and equity plans, with best practices for clearly communicating LTIP terms to participants
  • Modifying LTIPs in an uncertain economic landscape

The presentation is eligible for 45 Substantive minutes.
