Mintz Partners with CohnReznick to Host Financing Seminar for Life Science Companies
Jeremy D. Glaser and William C. Hicks of Mintz Life Sciences Group to Speak
Jeremy D. Glaser, Co-Chair of the Venture Capital & Emerging Companies Practice of Mintz, Cohn, Ferris, Glovsky and Popeo, P.C., and William C. Hicks, Co-Chair of the firm’s Securities & Capital Markets Practice, will participate in panel discussions at a seminar focused on critical issues related to capital formation and the IPO process for life science companies. The event, presented in partnership with professional services firm CohnReznick, will take place on Wednesday, April 22 at Mintz San Diego office.
Mr. Glaser will moderate a panel entitled, “Raising Capital to Fund Your Organization.” Key executives from life sciences organizations will discuss various capital-raising options, including convertible debt, equity and preferred equity, and opportunities with venture capital funding. Panelists include Greg Hanson, President and CFO, MabVax Therapeutics; David Kabakoff, Executive Partner, Sofinnova Ventures; and Paul Wagner, CFO, Pfenex Inc.
Mr. Hicks will participate in a panel discussion entitled, “Navigating the IPO and Alternative IPO Processes.” Panelists will share insights and observations based upon their involvement with recent IPOs, reverse mergers, and Form 10 transactions. Mr. Hicks will be joined by Craig Golding, Life Sciences Partner, CohnReznick; Jonathan Lim, Chairman, CEO & Co-founder, Ignyta; and Mark Spelker, National Director of SEC Services, CohnReznick.
Mr. Glaser routinely assists his clients in growing their businesses and obtaining financing, guiding companies from initial organization through angel and venture capital financings, initial public offerings, strategic alliances, and mergers and acquisitions. He regularly represents technology-based companies principally in the software, mobile applications, clean energy, medical device and life science fields. Mr. Glaser represents both issuers and underwriters in a wide variety of securities transactions, including IPOs, secondary offerings, and private placements, and represents venture capital firms, hedge funds and their portfolio companies in venture capital and PIPE financings.
Mr. Hicks has extensive experience representing issuers, investors and investment banks in structuring and executing IPOs, cross-over investments, alternative public offerings, including reverse mergers and Form 10 transactions, Confidentially Marketed Public Offerings (CMPOs), registered directs, PIPEs and private placements. He represents hedge funds, venture capital firms and private equity firms in customized investments in public companies, including structured PIPEs and registered directs. Mr. Hicks also represents public companies in public and private financings, SEC compliance, corporate governance, and general counseling.
