Hannah focuses her practice on capital markets, including advising issuers, placement agents, underwriters, and investors in connection with private placements and public offerings (IPOs and follow-on offerings), secured and unsecured private equity financing transactions (PIPEs), as well as shelf offerings (RDs, CMPOs, and ATMs). Hannah also represents public companies with respect to ongoing, quarterly, and annual 1934 Act SEC reporting obligations, annual shareholder meetings, beneficial ownership reporting requirements, corporate governance as well as NASDAQ, NYSE, and other exchange listing and compliance matters.

 

Prior to joining Mintz, Hannah was an associate on the capital markets team in the corporate & securities practice group at an Am Law 100 law firm.

 

While at Cardozo, Hannah served as executive editor of the Cardozo Dispute Resolution Honor Society. Hannah competed in the 26th Willem C. Vis International Commercial Arbitration Moot in Vienna, Austria, and was awarded an Honorable Mention in the Best Individual Oralist category. Hannah was the student coach for the 27th Vis Moot Team and was awarded the Steven Eric Tanenbaum Leadership Award for her exemplary service to the Cardozo Community and tireless efforts at coaching the 27th Vis Moot Team, especially in response to changes imposed by the COVID-19 pandemic.
