Mintz Sustainable Energy & Infrastructure Practice Leads First of a Kind Infrastructure Projects and Closes 70+ Deals in 2024 Totaling $4B

February 5, 2025 — The Mintz Sustainable Energy & Infrastructure Practice led record size sustainable infrastructure projects over the past year and closed over 70 deals in 2024, helping clients raise over $4 billion. To support its explosive growth, the practice continued to deepen its bench strength with the addition of top industry talent.

Mintz’s Sustainable Energy & Infrastructure Practice provides a fully integrated multidisciplinary team to serve clients across the energy transition and sustainable infrastructure markets. Below are highlights of our work for representative clients over the past 12 months.

  • U.S. Department of Energy (DOE) Loan Programs Office (LPO): on multiple project financings, including:
    • The closing of a $1.45 billion loan guarantee to Hanwha Q Cells Georgia, Inc. for a first-of-a-kind US vertically integrated silicon-based solar manufacturing facility.
    • The closing of a $1.67 billion loan guarantee to Montana Renewables, LLC (MRL) for the expansion of MRL’s facility to increase the production of sustainable aviation fuel (SAF), renewable diesel, and renewable naphtha.
    • A conditional commitment for a loan guarantee of up to $305.54 million to IceBrick Energy Assets I, LLC, a subsidiary of Nostromo Energy, Inc., for a virtual power plant (VPP) consisting of cold thermal energy storage installations at commercial buildings.
    • A conditional commitment for a loan guarantee of up to $1.26 billion to Michigan Potash Company, LLC for the construction of a potash solution mine and processing plant that will play a critical role in securing domestic fertilizer supply.
  • Mitsui & Co., Ltd.: in a shareholders’ agreement with RWE and Osaka Gas to govern the ownership, development, financing, management, and operation of a commercial-scale offshore wind project off the coast of the cities of Murakami and Tainai, Niigata Prefecture, Japan.
  • Aspen Aerogels (NYSE: ASPN): a technology leader in sustainability and electrification solutions, in a $98 million public offering of shares of its common stock.
  • Boston Metal: a global metals technology solutions company, in a Series C extension, bringing the total to $262 million.
  • Marubeni: a Japanese integrated trading and investment business conglomerate, on four separate transactions for the sale of its interests in two large wind farms and two gas-fired power projects.
  • ZwitterCo.: a company transforming water treatment through advanced membrane technologies, in a Series B financing of over $58 million.
  • Spring Lane Capital: a private equity firm, in its $30 million investment in Soluna Holdings, Inc. (NASDAQ: SLNH), a developer of green data centers for intensive computing applications, to facilitate construction of wind-powered data center facilities in Texas.
  • Mantel Capture, Inc.: a technology provider of a carbon capture system using molten borates, in its $30 million Series A funding co-led by Shell Ventures and Eni Next.
  • Sojitz Corporation: a Japanese general trading company, in the acquisition of 90% ownership of Freestate Electric, a major electrical construction contractor in the US Mid-Atlantic region.
  • WAVE Equity Partners: a Massachusetts-based growth equity firm, in a $30 million investment in Maymaan Research, Inc.’s Series A financing round.
  • Renova Energy: in the acquisition of interest in a utility-scale solar and storage project in Texas in the early stages of development.
  • Sora Fuel: a startup producing sustainable aviation fuel (SAF) using only water, air, and renewable energy, in its oversubscribed $6 million seed round. The Engine Ventures led the round, with Wireframe Ventures and others participating.

Energy Regulatory and Litigation

Mintz has quickly emerged as a leader in high-stakes energy regulatory and litigation matters, particularly before the Federal Energy Regulatory Commission (FERC). Led by Steven Shparber, Mintz was involved in some of the highest-profile proceedings before FERC over the past year, including representing the nation’s largest clean energy trade groups in proceedings related to FERC’s landmark Order No. 2023 and Order No. 1920. Mintz also represented several clients, including project developers, asset managers, and private equity funds, in multiple Federal Power Act Section 206 complaint proceedings, each of which resulted in either favorable decisions from FERC or successful settlements.

Deepening Bench Strength to Support Explosive Growth

The Sustainable Energy & Infrastructure Practice continues to attract top talent, further deepening its bench with the addition of five new team members in the past year.

  • Adam Banack (Toronto)  
    Adam focuses his practice on energy and infrastructure project development and procurement. Adam advises project participants spanning the energy infrastructure ecosystem — representing government authorities, developers, construction contractors, service providers, lenders, and underwriters — on all aspects of development and financing of major energy projects. His practice also encompasses advising public authorities, Canadian government-owned Crown corporations, and private organizations on complex procurement matters in the defense, technology, and infrastructure industries.
  • Luis F. Torres (Washington, DC & New York)  
    Luis is an accomplished project finance lawyer with over two decades of experience. His practice focuses on the structuring, development, and financing of energy, transport, telecommunications, and other infrastructure projects in the United States, Latin America, and other jurisdictions around the globe.
  • Will Haslun (New York)  
    Will is a corporate attorney who focuses on complex energy and infrastructure transactions involving projects that span solar, wind, geothermal, RNG, data centers, arenas, sports stadiums, and more. He counsels clients on the formation of joint ventures, reorganizations of holding company portfolios, and the creation of special purpose vehicles.
  • Nakia Arrington (Washington, DC)  
    Nakia is a litigator whose practice encompasses complex civil and criminal litigation, arbitrations, and mediations, as well as advising clients on compliance issues, with an emphasis on matters involving energy and environmental regulatory matters.
  • Thomas Earnest (San Francisco)  
    Thomas is a sought-after corporate attorney with more than a decade of experience providing strategic legal and business guidance to clients ranging from start ups to late-stage private and public companies. Thomas’ practice primarily focuses on venture and private equity financings and mergers and acquisitions. He works with clients across a wide range of industries, with an emphasis on companies and investors in clean tech, clean energy and sustainability.

Facilitating Industry Ecosystem Growth

The practice regularly hosts client events to connect industry experts, share learnings, and explore new opportunities. Mintz’s Third Annual 2024 Energy Transition Summit brought together 200 leaders from across the energy transition and sustainability ecosystem for a day of problem-solving and networking. The event featured distinguished speakers from the policy, financing, and technology sectors, including an opening keynote from John F. Kerry, 68th US Secretary of State and former United States Special Presidential Envoy for Climate. Guided by the theme “Catalyzing the Energy Transition Through Investment, Innovation, and Adoption,” conversations focused on the pivotal role of financing — from both private and public sources — in shaping the future of the energy transition.
