• Represented TSG Consumer Partners in connection with numerous majority acquisitions and minority investments, including ATI Restoration, Hempz, Joe Hudson's Collision Center, Legacy.com, Mavis Discount Tire, Nuun, Pabst Blue Ribbon, Power Stop, Radiance Holdings, Revolve, Super Star Car Wash, Thrive Pet Healthcare, Wrench Group, and Zoeya.
• Represented [solidcore], a national network of fitness studios providing targeted strength training on custom-built reformers, and VMG Partners in connection with [solidcore]'s sale to L Catterton.
• Represented Gauge Capital in its acquisition of 7 Mindsets, which provides a social-emotional learning curriculum and professional development to K-12 schools.
• Represented AVALT, a family office focused on direct private equity investments, in the purchase and subsequent sale of Ned Stevens, a provider of residential gutter cleaning and essential exterior home services.
• Represented Gridiron Capital in its acquisition of Performance Health & Wellness Holdings, a leading producer and marketer of rehabilitation and wellness products. Also, advised Performance Health & Wellness in an add-on acquisition of a manufacturer of athletic training and sports medicine products.
• Represented GI Partners in its investment in Rectangle Health, a provider of health care financial and patient payment technology, in conjunction with existing investor TA Associates.
• Represented GI Partners in its acquisition of Aras Corporation, a provider of cloud software for digital industrial applications.
• Represented Bain Capital in its $18 billion acquisition of Toshiba Memory Corporation from Toshiba Corporation, through a Bain Capital-led consortium including Apple, Seagate Technology, Kingston Technology, Hoya, Dell Technologies, and SK Hynix.
• Represented the Vistria Group in its acquisition of specialty pharmaceutical distributor BioCare.

Investment Management Transactions

• Represented TRIA Capital Partners in multiple minority structured investments in registered investment advisors (RIAs).
• Represented TD Bank in the sale of ESG-focused private equity fund Cowen Sustainable Investments to the portfolio managers.
• Represented TD Bank in the sale of Cowen Healthcare Investments, a private equity fund focused on health care, to Blue Owl Capital 
• Represented UBS in the sale of its alternative investment platform to global fintech platform iCapital. 
• Represented Natixis Global Asset Management in connection with multiple acquisitions and dispositions of affiliated asset management companies.
• Represented Hamilton Lane in connection with the acquisition, and subsequent sale, of 361 Capital, a boutique alternative asset management firm, to Allspring Global Investments.
• Represented Grantham, Mayo, Van Otterloo & Co. LLC (GMO) in connection with the acquisition of Usonian Investments LLC, a value-oriented Japan equity manager.
