Jeff has extensive experience advising both issuers and underwriters on public and private offerings of securities and other capital market transactions, including initial public offerings, follow-on offerings, and private placements of equity and debt securities. Jeff also represents both issuers and underwriters in special purpose acquisition company (SPAC) IPOs and both acquirers and targets in connection with “de-SPAC” business combinations.

Jeff’s practice includes transactions in a wide range of industries, including life sciences, technology, media, metals and mining, industrials, retail, restaurants and hospitality, consumer products, and entertainment companies.  Jeff also counsels clients on corporate governance matters and ongoing disclosure and compliance requirements under US securities laws, as well as the rules and regulations of the New York Stock Exchange and NASDAQ.

While attending law school, Jeff served as a submissions editor for the Southern California Interdisciplinary Law Journal.
