Alex has a broad banking and finance practice representing agents, lenders, and borrowers, with extensive experience representing clients on both sides of the Canada-US border. She regularly acts as Canadian counsel on fund financing transactions, providing strategic advice to North American and global banks.

Alex frequently advises clients on complex, multi-jurisdictional financings, including cash-flow deals, capital call and other types of sponsor financing, acquisition financing, roll-ups, and leverage finance. She is also called on to handle all types of commercial real estate and construction financing. Alex has significant experience in finance deals involving condominiums, health care, hotels, storage, cannabis, and other unique asset classes.

Prior to joining Mintz, Alex was a partner and earlier an associate at an international law firm, where she represented Canadian and international financial institutions and borrowers, with an emphasis on lender-side work.

Experience

  • Advising a global bank as the agent and lead arranger on a $65 million cross-border credit facility relating to the acquisition of multiple US targets by a North American wastewater and wastewater treatment system company.
  • Advising a leading North American bank chartered in Canada, as lead arranger and administrative agent, in connection with the establishment of cross-border syndicated credit facilities in the aggregate amount of C$121 million for future acquisition needs and ongoing working capital.
  • Advising a Canadian chartered bank, as lead arranger and administrative agent, in connection with the establishment of a C$231 million condo financing for the construction of a luxury condominium high-rise in downtown Toronto.
  • Advising a leading North American bank, as lead arranger and administrative agent, in connection with the establishment of cross-border syndicated credit facilities in the aggregate amount of C$121 million for future acquisition needs and ongoing working capital.
  • Acting as counsel to a Canadian chartered bank in connection with the acquisition of a €60 million luxury yacht.
  • Acting as counsel to a lender in connection with the establishment of a term facility for a start-up software company that develops custom integrated circuit design software.
  • Acting as counsel to a lender in connection with the establishment of a term facility for a start-up software company that helps firms transition enterprise software to cloud-enabled services.
  • Acting as counsel to a lender in connection with the completion of pooled commercial mortgage-backed credit facilities in the aggregate principal amount of C$32.9 million and secured by two properties.
  • Advising a Canadian Chartered bank, as administrative agent for a lending syndicate, on a C$175 million cross-border acquisition financing to assist the borrower in acquiring drug products from major drug companies and the restructuring of existing credit facilities.
  • Advising a Canadian Chartered bank, as administrative agent for a lending syndicate, on a C$38 million portfolio company refinancing for a company that produces calcium chloride and restructuring four other existing layers of debt.
  • Acted as Canadian counsel to a North American insurance corporation for C$30 premium financing facility.
  • Represent multiple banks in connection with fund finance credit facilities, including Citibank, National Australia Bank (formerly Signature Bank), First Republic Bank, and Citizens Bank.
  • Acted as Canadian counsel to a North American cannabis producer and retailer in connection with their senior and subordinate facilities totaling C$115 million.
